1. Acceptance of Terms

By accessing our website or using services provided by Guide & Thrive Bookkeeping, you agree to these Terms of Service.

Clients must be at least 18 years old and legally authorized to enter into agreements on behalf of their business.

All clients must sign an engagement agreement before services begin. The signed agreement defines the scope of work, pricing, responsibilities, and service expectations. Where these terms conflict with the signed agreement, the signed agreement controls.

2. Services Offered

Guide & Thrive Bookkeeping provides professional bookkeeping services, including:

  • Monthly Bookkeeping: Transaction categorization, account reconciliations, and financial statements.

  • Bookkeeping Cleanup: Organizing and correcting past financial records.

  • Accounts Receivable (A/R): Entering and sending customer invoices.

  • Accounts Payable (A/P): Entering vendor bills and managing approved payments through QuickBooks Bill Pay.

  • Receipt Management: Collecting and organizing business receipts.

3. Payments and Billing

  • Payments are processed through Stripe or another approved payment method.

  • Monthly bookkeeping services are billed in advance on a recurring basis.

  • One-time projects require upfront payment before work begins unless otherwise agreed in writing.

  • Invoices must be paid by their stated due dates.

  • Unpaid invoices may result in suspended services or termination following applicable notice requirements.

  • Additional work outside the agreed scope requires separate approval and may result in additional charges.

4. Cancellations and Refunds

  • Clients may cancel recurring services with 14 days’ written notice by email.

  • Fees for services already performed are non-refundable, subject to applicable law.

  • Refunds for unused prepaid services will be determined according to the signed engagement agreement and applicable law.

  • Outstanding balances for completed services remain payable following cancellation.

  • Any additional termination conditions are outlined in the signed engagement agreement.

5. Client Responsibilities and Payment Authorization

Clients agree to:

  • Provide accurate, complete, and timely financial records.

  • Grant necessary access to QuickBooks and other agreed financial systems.

  • Respond to requests for clarification within a reasonable timeframe.

  • Review financial reports and communicate identified errors.

  • Maintain responsibility for business decisions, financial obligations, and tax compliance.

Accounts Payable Authorization

  • Clients retain responsibility for reviewing and approving vendor bills and payments.

  • Guide & Thrive Bookkeeping will not release payments without documented client authorization.

  • Payment approval procedures, permitted amounts, and access permissions must be established during onboarding.

  • Clients remain responsible for maintaining sufficient funds and verifying vendor payment information.

Delays caused by missing information, restricted access, or pending approvals may affect service timelines.

6. Confidentiality and Data Security

Guide & Thrive Bookkeeping treats client financial information as confidential and uses it only for authorized business purposes.

We take reasonable care when handling client information. Our approach includes:

  • Limited access to client information based on what is needed to provide services.

  • Using the security features available in the business platforms we use.

  • Taking reasonable precautions when storing and sharing client documents.

  • Reviewing and responding to suspected unauthorized access.

  • Investigating security incidents and providing any notices required by law.

Information may be shared with service providers as necessary to perform services, as described in our Privacy Policy, with client authorization, or when legally required.

Clients are responsible for protecting their own accounts and login credentials.

No electronic system can guarantee complete security. Guide & Thrive Bookkeeping remains responsible for applicable data protection and breach notification obligations.

7. Service Limitations

Guide & Thrive Bookkeeping provides bookkeeping services based on information supplied by clients and connected financial systems.

  • We do not guarantee the detection of fraud, theft, or financial irregularities.

  • Bookkeeping services do not constitute an audit, review, or independent verification of financial statements.

  • We are not responsible for inaccuracies directly resulting from incomplete, incorrect, or withheld client information, except to the extent caused by our own failure to exercise legally required care.

  • Financial statements are intended to assist with business recordkeeping and management decisions.

  • Clients remain responsible for reviewing and approving financial information and business decisions.

8. Third-Party Software

  • Our services may use QuickBooks Online, Stripe, Google Workspace, and other approved third-party platforms.

  • Guide & Thrive Bookkeeping does not control these providers and cannot guarantee uninterrupted service or availability.

  • Software outages, access restrictions, or technical failures may affect service delivery. We will take reasonable steps to address disruptions within our control.

  • Third-party providers operate under their own applicable terms and privacy policies.

9. Limitation of Liability and Insurance

To the fullest extent permitted by applicable law:

  • Guide & Thrive Bookkeeping is not liable for indirect, incidental, special, or consequential damages, including lost profits or business opportunities.

  • Guide & Thrive Bookkeeping’s aggregate liability for claims arising from an engagement is limited to the total fees paid by the client for that engagement during the 12 months preceding the event giving rise to the claim.

  • This limitation applies only where legally enforceable and does not exclude liability that cannot legally be limited.

  • Clients remain responsible for losses resulting from their own inaccurate records, unauthorized actions, or failure to fulfill agreed responsibilities, to the extent permitted by law.

10. Termination of Services

Guide & Thrive Bookkeeping may suspend or terminate services due to:

  • Non-payment.

  • Failure to provide necessary financial information or access.

  • Misrepresentation or suspected unlawful activity.

  • Material violations of these terms or the signed engagement agreement.

  • Circumstances that prevent services from being performed lawfully or responsibly.

Either party may terminate services according to the signed engagement agreement.

Upon termination, Guide & Thrive Bookkeeping will reasonably cooperate in transitioning available client records, subject to applicable law, contractual obligations, and payment terms.

11. Governing Law and Contact

These Terms of Service are governed by the laws of the State of Wisconsin, subject to applicable federal law.

Both parties agree to attempt to resolve disputes informally and in good faith before pursuing formal legal action.
